Looks like a Seki blade. I think I see a stamp but the picture isn’t very clear. One thing is sure, you’ve got some restoration to do.

Looks like a legitimate naval sword, and is signed ?, ?, Katsu,masa I believe.

Hard to read upside down, I have enough trouble when they are right-side up :-)
